Mixi takes control of PointsBet Board after securing 66% stake

- Mixi Australia appointed three executives: Sho Okuyama, Kanji Kobayashi and Taishi Oba, as non-independent directors after closing its offer with 66.4% of voting power - Five directors resigned simultaneously, including Becky Harris and Tony Symons PointsBet Holdings has announced changes to its Board of Directors following the completion of Mixi Australia's off-market takeover offer. The offer period closed on 12 September 2025, resulting in MIXI Australia holding 66.4% of the voting power in PointsBet. Following the acquisition, three non-executive directors associated with the majority shareholder have joined the board: Sho Okuyama, Kanji Kobayashi and Taishi Oba. All three are employed by MIXI or its related entities and are therefore considered non-independent directors. Their appointments took effect immediately. The company also confirmed that several existing directors have resigned. Becky Harris, Tony Symons, Kosha Gada, Peter McCluskey and William Grounds stepped down from the Board effective immediately. Brett Paton will remain as Chairman, while Sam Swanell continues in his role as Managing Director. Okuyama has been with Mixi since 2016, overseeing investment, business development, mergers and acquisitions, and post-merger integration. He currently leads Mixi's social betting business, Tipstar. Good to know: In August, Betr’s revised offer for PointsBet was rejected by Mixi, which maintained that its existing acquisition terms were superior Kobayashi joined in 2007 and has held various leadership roles, including general manager of Legal Affairs, with responsibility for corporate legal, intellectual property, M&A and crisis response functions. Oba joined Mixi following previous experience at KPMG Japan and in international business development, and currently focuses on deal execution and integration initiatives supporting MIXI's global expansion strategy. PointsBet expressed its appreciation to the departing directors, acknowledging their dedication, service and contributions to the company. The board reconstitution marks the first structural change since MIXI became PointsBet's controlling shareholder and establishes a governance framework aligned with its majority ownership.
